Shipedge Subscriber Terms & Conditions

SHIPEDGE COMMERCIAL TERMS

1. Shipedge Services are provided between the Company (“subscriber”) and Shipedge, LLC pursuant to the Online Hosted Service Agreement as amended from time to time and available at www.shipedge.com/service-agreement.  Completing this checkout and sending payment means that you accept all and each of the terms and provisions of the Agreement and will be as effective as a physical signature of the Agreement by the Subscriber. The terms and provisions of this Exhibit A are incorporated into the Agreement and all terms and provisions of the Agreement apply to this Exhibit A.

2.1 Setup of  WMS server instance will take between 1 and 3 business days.  Subscriber will receive access credentials and the server URL by email.

2.2 Implementation services are required for all new customers until until the subscriber’s operations has been processing real daily orders for at least 2 weeks. After which point, the Subscriber may request in written to end our implementation services.  

MOVE TO IMPLEMENTATIONS PRODUCT DESCRIPTION:  This fee includes one weekly meeting and up to 9 hours a month for implementation work consisting of: Training, General Support, Monitoring, Analysis, Configuration and Integrations. Additional hours can be requested following section 4 below.

MOVE TO UPSALE On-site-visit Product:  Optional warehouse visits shall be quoted and paid in advanced at $800 per on site day, $400 per travel day and all travel expenses paid in advanced (add a non-refundable fee of $1000 towards setup fees for trips before the system is deployed)

3. System Monthly Fees for all modules’ description displayed at in this Subscription page will be automatically charged monthly to the Subscriber. Our team will start working The monthly price will be automatically charged to the payment method provided every subsequent month for as long as the agreement is active.

MOVE TO MAIN SERVICE AGREEMENT: Client may request to add modules or upgrade their Shipments or Modules to the Monthly Plan at any time. Changes may take effect after a 5 day setup period. This fee covers use of the Hosted Software, all associated hosting and maintenance services provided by Shipedge. User may add will pay a fixed Monthly fee for each additional active OMS Merchant Account License at the time of invoicing. Subscriber will provide 60 days written notice in order to terminate a Shipedge OMS Merchant Account license. The OMS account will be de-activated after payments within this notification period have been paid in full. Integrations include FTP, API and Channel Automation Shipedge features. Setup of OMS extensions are subject to standard development fees. Transactional EDI charges are agreed in advance on a case-by-case basis.

4a. Development, Implementation and Hosting Services:  Shipedge will host, manage and support the Hosted Software for Client.

 

4.  Subscriber may request Development work, Systems Integrations and/or Customization by a Shipedge specialist or a software developer.  Purchase of this service is available as hourly development work.  Shipedge will provide an estimate before starting the project.  Customer may request features to be added to our roadmap. If accepted, Customer may request this feature to be implemented sooner by paying in advanced for feature priority fee of $200 per development day.

…MENTION DEV WORK PRODUCT?..

DEV WORK:  4b. Extra Developmen  fees: Involving a Shipedge specialist or a software developer for a new feature, customization or new integration will cost $95/hr.    Shipedge will provide an estimate before starting the project.  Projects under $1,200 are paid before the project starts.  Projects over $1,200 will be paid 50% to start the project and 50% upon completion of the project.  Customer may request features to be added to our roadmap. If accepted, Customer may request this feature to be implemented sooner by paying in advanced for feature priority fee of $200 per development day.
